Here are some excellent points from a recent newsletter from the Association of Professional Merger and Acquisition Advisors :&lt;br /&gt;&lt;br /&gt;&lt;strong&gt;Low Interest Rates&lt;/strong&gt;&lt;br /&gt;&lt;br /&gt;Interest rates are at historic lows. Low interest rates mean that buyers can afford to pay more for a business. Whether it is a "sophisticated” buyer using discounted cash flow analysis, or someone calculating "how much can I afford a month” the same math holds true; lower interest rates mean lower debt service payments and higher cash flows from the business. Debt payment levels and cash flow drive value.&lt;br /&gt;&lt;br /&gt;&lt;strong&gt;SBA&lt;/strong&gt;&lt;br /&gt;&lt;br /&gt;The Small Business Administration guarantees a portion of the loans that banks make. As part of the current stimulus package, the SBA has raised its loan guarantee level up to 90% for certain loans. At the same time, the SBA has eliminated the processing fees that borrowers normally have to pay. When buyers pay less for loans, they can pay more for the business. Low&lt;br /&gt;&lt;br /&gt;&lt;strong&gt;Capital Tax Gains Rate&lt;br /&gt;&lt;/strong&gt;&lt;br /&gt;It is what you keep from a sale that really matters. At only 15%, capital gains tax rates are at the lowest levels in 30 years. Many people forget that in the late 70's the highest effective capital gains tax rate reached 49.875% and as recently as the early 1990's the highest capital gains tax rate was still at 29.2% . The current administration has already stated its desire to raise the capital gains tax rate so it is not a question of if but rather how much.&lt;br /&gt;No one has a crystal ball, but what could happen if an owner waited until the economy starts to recover and things "improve” to pursue a sale... As the economy begins to grow, corporations start hiring again, pulling potential buyers off the market and hence reducing demand. With the economy growing, the Federal Reserve starts to worry about inflation and raises interest rates to curb growth (yes, this is what they do). The proposed change would limit effectively limit the amount of financiable goodwill to $250,000 .   This , in the opinion of many , would marginalize the SBA  and make them less relevent in the financing of small business transactions .    Here are some points to consider :&lt;br /&gt;&lt;br /&gt;&lt;br /&gt;&lt;strong&gt;Businesses are sold based on cash flow, not tangible asset value…..just as publicly traded companies are valued based on a price to earnings ratio, not a tangible net worth.  By limiting goodwill, the SBA is essentially eliminating the financing for the sale of  most businesses.&lt;br /&gt;&lt;br /&gt;When a small business is sold, it often represents saving the jobs in the firm.   Just closing the business, or slowing down, as the owner ages, costs jobs.&lt;br /&gt;&lt;br /&gt;New owners, financed by the SBA bring renewed passion and ambition to the company.  This often results in significant sales growth, and job creation.&lt;br /&gt;&lt;br /&gt;If a legislator does not think that is true, I have a very interesting statistic.  At a break out session at the IFA convention in San Diego, February 2009, it was disclosed that system wide, when a franchised business is sold to a new franchisee, the first year’s sales average approximately 25% higher than the last year of the outgoing franchisee.    Franchisors track metrics carefully, so we now have real data supporting item 3.  &lt;br /&gt;&lt;br /&gt;Always bring in the following statistic about small businesses.   It is known that 50% of all jobs and about 70% of all new jobs are in small businesses.  Small businesses are also the largest customer segment for large businesses.  A whopping 0.08% of the stimulus package was earmarked for small business.  There is a major disconnect here!&lt;br /&gt;&lt;br /&gt;The Senate version had the 7-A SBA loan limit raised to $3 million.  But in committee, the Congress prevailed.  It did not require any additional funds to have this higher cap.   But the Congressional  Small Business Committee, chaired by Congresswoman Velasquez from Brooklyn, New York, is dead set against it.  We need to get this issue back on the table.  We need to educate President Obama  about this issue, so he can begin to change the committee/’s orientation on it. It is simply owning the rights to a franchise territory. This territory can be a metropolitan area, an entire state or several states. The Master Franchisee assists the parent franchise company in the sales and development of the territory in exchange for a share in the royalty revenues and franchise fees from every unit in the territory. This amount is typically half of each. &lt;br /&gt;Example: The Master Franchisee receives 50% of each franchise fee and 50% of the royalty income. Let's assume that the franchise fee is $30,000 per unit and the royalty each unit pays is 6% of their gross sales. That means for each unit opened in your territory the Master Franchisee would receive $15,000 (50% of the $30,000 franchise fee).&lt;br /&gt;Let's also assume that each unit in the territory has an average yearly gross sales volume of $1,000,000. Each unit would pay a royalty of 6% of their gross sales, which is $60,000 per year.  The Master Franchisee would receive 50% of this amount which is $30,000 per unit per year.  This is the ultimate franchise investment opportunity.  It is a solid, low risk investment that can provide a substantial lifetime income for the investor and their heirs.&lt;br /&gt;If 10 to 100 units opened in the territory, the royalty income would be $300,000 to $3,000,000 per year.
